TERMS OF USE

Welcome to PREVALIP! Thanks for joining our Affiliate program.

These following terms and conditions apply to individuals who are accessing or using the Program both Basic Nutrition, Inc. including its parent/holding company(ies), its subsidiaries (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.

By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as an Affiliate or participate in the Program in any manner.

While some gut bacteria are harmful, most of them play an essential role in our health and survival. Research shows these microorganisms help us digest food, fight infection and maintain a healthy weight. Some scientists even speculate that gut bacteria may have an effect on how our brain works, as well as the health of our heart. Having the right balance of "good" and "bad" bacteria in your gut is thought to be one of the keys to maintaining good health.

1. Approve or Reject of the Registration

We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.


2. Affiliate Programs

There are two types of Affiliate programs with merchant: one-time and recurring.


3. Affiliate Links and Coupon

Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.

Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you are not assigned a branded coupon, then you’re not allowed to promote the coupon.

Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.


4. Commissions and payment

If the Affiliate is on a one-time payment option, they will receive a commission for each new signup.

If the Affiliate is on a recurring payment schedule, they will continue to accumulate commissions for each paid transaction by the customer for as long as the customer remains a paying customer, affiliate is active and affiliate is in good terms with merchant. For Affiliates participating in the recurring program, commissions will also accumulate for every recurring successful sale through qualified, correctly structured Affiliate links and/or coupon(s).

Refer any customer to make a purchase on merchant website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost, etc.).

For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product(s). Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links and/or coupon(s). Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.

For an Affiliate to receive a commission, you need to specify the payment details on Settings correctly.

Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in chargebacks or refunds will not be paid out.

Affiliate will be paid as per merchant’s payment schedule. Affiliate will be paid when their balance reaches a minimum balance of $50 USD. Payments will generally be paid out via debit card or bank transfer (ACH) or by check.


5. Marketing tool

We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.


6. Network

If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.

To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.


7. Cookie

We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.

If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.

Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).


8. Usage and Obligations

Affiliates are permitted to use the merchant brand and marketing resources available in the Affiliates section of the merchant portal. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.

The Affiliate will never imply that they are acting on behalf of merchant and will never advertise merchant products directly without preauthorization from merchant. The Affiliate will never bid for advertisements that compete with merchant.

The Affiliate will never represent themselves, merchant or their relationship with merchant in a false or misleading way.

The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing merchant or its product(s) and brand(s).



9. Term and Termination

Either party has the right to terminate the agreement immediately without prior notice.

If the Affiliate terminates the agreement, no further commissions from merchant will be paid for any past or future customer transactions. If an affiliate wishes to be removed from the affiliate program, they can do so by contacting merchant at admin@prevalip.com.

If merchant chooses to terminate the agreement, any balance greater than $50 USD will be paid to the affiliate within 30 days of termination. Balances that are smaller than $50 will be forfeited.

If the Affiliate is on a recurring program, merchant will not be obligated for any future payments after termination.


10. Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Maryland, without regard to its conflict of laws rules.


11. Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Maryland. An award of arbitration may be confirmed in a court of competent jurisdiction.


12. Modification

PREVALIP may modify any of the terms and conditions within this Agreement at any time and at its sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
